This White Paper is issued by Toha Network Limited (together with its related entities, Toha) for general information purposes only and is not an offer document, offer of securities, advice or a solicitation for investment. The information provided in this White Paper is expected to change over time in response to feedback and experience, so nothing in this document should be taken as a full and final expression of Toha's view of its products or services.
Digital tokens issued by Toha (tokens) are not an investment or a financial product in New Zealand, although their regulatory status could change in the future. No regulatory body has approved any of the information in this White Paper. Tokens do not represent any ownership interest in, or claim against, any Toha entity.
Tokens are able to be purchased in New Zealand or in jurisdictions where distribution, marketing and legality are authorised. This White Paper and any part of it may not be distributed to any country or jurisdiction where this would be restricted or prohibited.
Purchasing tokens involves risks, some of which are set out in this White Paper; however there are likely to be other risks, including some we cannot anticipate. In particular, the price or value of tokens, or the availability of any market for tokens, is not guaranteed by any person.
To the extent permitted by law, Tokens will be offered without warranties of any kind, and Toha expressly disclaims all implied warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Toha does not represent or warrant that the tokens will be reliable, current or error-free, or that technical defects in the Tokens will be corrected. Blockchain technology is still in a relative early stage of development and any technical defects may have a materially adverse effect on tokens. Toha cannot and does not represent or warrant that the tokens or the delivery mechanism for the tokens are free of viruses or other harmful components, or will not be subject to hostile action by third parties. Except as set out in agreed terms and conditions, Toha will not accept any responsibility for transactions occurring via the Toha Network or through any third party. Toha’s systems are still under development and the final version of the operating system for tokens may be subject to change in the future.

Toha, its founders, core Contributors (employees), Network Contributors (contractors), Members and any third party involved in the project will not be liable for any direct, indirect, special, incidental, consequential or other losses of any kind, in tort, contract or otherwise arising out of or in connection with any acceptance of or reliance on the information in this White Paper.
